Lawsuit Opposes Merger of Upscale Restaurant Chain

Dave & Buster's, Inc., a leading operator of upscale restaurants and entertainment complexes, agrees to the terms of a proposed settlement and plans to settle a class action lawsuit filed on January 20, 2006. The lawsuit opposed the Company's planned merger with an affiliate of Wellspring Capital Management.

The proposed settlement is conditioned upon the completion of the merger, the recognition of a settlement agreement, and court approval. The settlement will extinguish all claims for any alleged violation of fiduciary duty, and all claims related to the value to be paid for the Company's common stock in the proposed merger. The Company's special meeting of stockholders to vote upon the merger will be held on February 28, 2006.

Cincinnati Bengals fans who say the team improperly refused to allow them to cancel their season tickets have asked a judge to award their lawsuit class action status. A lawyer representing several people involved in the dispute asked Hamilton County Common Pleas Judge Robert Ruehlman to allow anyone who purchased tickets based on a 1997 brochure to join the lawsuit. The conflict involves fans who bought seat licenses sold to raise money for construction of the new Paul Brown Stadium based on the brochure, which allowed buyers to lock in prices for six, eight or 10 years. Fans signed an agreement acknowledging they gave up their seat license if they stopped buying tickets.
 
The parties have reached a tentative $5.625 million settlement in a class action filed against Six Flags Theme Parks, Inc., on behalf of African Americans and Latinos who allege that park security guards harassed them and even ejected them from Six Flags’ Magic Mountain Park. Persons eligible to take part in the settlement should contact attorneys for the class as soon as possible.
 
If work needs to be carried out on your land for the public good, you may have to grant the agency that is doing the working an easement, or permanent right-of-way, but you should be paid for it. The parties have reached a tentative settlement apparently valued at $2.64 million in an action filed against AT&T Corporation on behalf of certain persons who own or owned land in Connecticut, through which railroads run and on which AT&T laid fiber optic cable. Claims must be received by March 1, 2004, to be considered valid.
 
When you stay at a hotel, you enter a legal contract with the business that runs the facility. On July 24, 2003, the court granted final approval to the parties' settlement in a nationwide class action filed against hotel management company John Q. Hammons Hotels, Inc. filed on behalf of U.S. residents who stayed in a hotel operated by the company between March 1, 2001, and August 31, 2001, and who paid an energy surcharge in addition to the normal room rate. The settlement provides for class members to receive a $15 discount off room rates per night between August 7, 2003, and February 7, 2004.
 
Thousands of Rhode Islanders will be getting checks from Blue Cross and Blue Shield of Rhode Island. That’s after Blue Cross, the state’s largest health insurer, agreed on July 21, 2005 to settle two class-action lawsuits. Under the settlement approved Friday, Blue Cross has agreed to pay 17-point-five (m) million dollars to settle the federal and state suits. The money will go to about 116-thousand current and former Blue Cross customers.

Several class actions have been filed against postsecondary education provider Career Education Corporation (Nasdaq: CECO) and certain of its officers and directors by stockholders who purchased the company's common stock between January 28, 2003, and December 2, 2003. The actions claim that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities.
