Class Action Filed Against Applied Signal Technology, Inc.

A class action has been filed against Applied Signal Technology, Inc. (NasdaqNM:APSG), certain of its officers and directors by stockholders who purchased the company's common stock between May 25, 2004 and February 22, 2005. The action claims that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities. The stockholders seek to recover compensatory damages for the loss of value of their stock.

Applied Signal Technology, Inc. provides advanced digital signal processing products, systems and services used in reconnaissance of telecommunication signals for intelligence gathering, a process referred to as signal intelligence.

According to a press release dated March 11, 2005, the complaint charges Applied Signal and certain of its officers and/or directors with violations of the Securities Exchange Act of 1934. More specifically, the Complaint alleges that the Company failed to disclose and misrepresented the following material adverse facts which were known to defendants or recklessly disregarded by them: (1) that the Company, despite representations to the contrary, lacked the staffing necessary to execute on current projects while bidding for new business; (2) that the Company struggled to maintain adequate levels of backlog; and (3) as a consequence of the foregoing defendant's positive statements about managing Applied Signal's workflow and growth while maintaining the Company's profitability were lacking in all material basis when made. Further on or around February 22, 2005, Applied Signal announced its operating results for the first quarter of fiscal year 2005 ended January 28, 2005. The results were below expectations. News of this shocked the market. As a result, shares of Applied Signal fell $4.28 per share or 15.55 percent, on February 23, 2005, to close at $23.24 per share.

The court has dismissed the class-action lawsuit filed against transportation company Interpool, Inc. (Pink:IPLI)) and certain of its officers and directors by stockholders who purchased the company's common stock between March 27, 2001, and December 29, 2003. The actions claimed that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities.
 
A class action lawsuit has been filed in the Northern District Court of Illinois against Douglas A. Hacker and others for violations of the Investment Company Act. Class members seek compensatory damages, disgorgement of the fees paid to the investment advisors and punitive damages.
 
The parties have reached a tentative $1.25 million settlement in a class action filed against MiniMed, Inc., and certain of its officers and directors by stockholders who held the company's common stock as of July 16, 2001. Persons eligible to participate in the settlement must submit a proof of claim form postmarked no later than September 13, 2004.
 
According to a press release dated April 10, 2008, the lawsuit claims that First Marblehead and a number of individual defendants violated Sections 10(b) and 20(a) of the Exchange Act, 15 U.S.C. Sections 78j (b) and 78t(a) and Rule 10b-5 promulgated thereunder by the Securities and Exchange Commission ("SEC"), 17 C.F.R. Section 240.10b-5.
