InSPIRE Settles Shareholder Claims for Just Under 5 Million Dollars

InSPIRE Insurance Solutions and plaintiffs in three class actions against it have reached a consolidated settlement for 4.8 Million dollars. Under the terms of the settlement, InSPIRE will create an interest bearing 4.8 million dollar fund from which settlements will be disbursed to class action plaintiffs.

The action is brought on behalf of persons who purchased or acquired InSPIRE common stock between January 28, 1998 and October 14, 1999, and involves claims that InSPire violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company’s securities.

The settlement will not become final until it has been reviewed and approved by the court at a fairness hearing scheduled for Match 9, 2005. Class members who want to participate in the settlement have until April 7, 2005 to file a proof of claim form. Proof of claim forms are available on the settlement site.

The parties have reached a tentative $6.1 million settlement of a class action filed against computer retailer CompUSA, Inc. (formerly Nasdaq: CPU) and certain of its officers and directors by stockholders who purchased the company's common stock or publicly traded options between December 31, 1997, and April 29, 1998.
 
Argosy Gaming Company shareholders have filed a class action suit against the company, its chairman and board members, claiming an announced merger with Penn National Gaming Co. does not adequately compensate shareholders given the company's "stellar third quarter 2004 financial results." According to the suit the defendants breached their fiduciary duty by not representing the full value of Argosy. A recent financial report showed that Argosy's earnings had risen substantially over the previous year. Earnings per share were 71 cents, up from 56 cents last year. Argosy's net income also rose from $38.1 million during last year's third quarter report to $43.7 million in the same reporting period this year. "Argosy shareholders will, if the transaction is cosummated, be deprived of the opportunity for substantial gains which the Company may realize," according to the suit.
 
Several class actions have been filed against liability insurer American Physicians Capital, Inc. (Nasdaq:ACAP) and certain of its officers and directors by stockholders who purchased the company's common stock between February 13, 2003, and November 6, 2003. The actions claim that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities.
 
A class action lawsuit has been filed in the United States District Court for the District of New Jersey, on behalf of all persons who purchased the common stock of Pharmos Corp. ("Pharmos" or the "Company") [Nasdaq:PARS] between May 5, 2003 and December 17, 2004, inclusive, (the "Class Period") against defendants Pharmos and certain officers of the Company.
