CP Ships Stock Sinks After Disclosures

Several class actions have been filed against container shipping company CP Ships, Ltd. (NYSE:TEU), and certain of its officers and directors by stockholders who purchased the company's common stock between April 23, 2003, and August 6, 2004. The actions claim that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities. The stockholders seek to recover compensatory damages for the loss of value of their stock.

The actions allege that CP Ships failed to disclose and misrepresented the following material adverse facts which were known to defendants or recklessly disregarded by them: (1) that the company overstated its net income figures by $22 to $27 million; (2) that it insufficiently accrued certain costs which caused its net income figures to be materially inflated; (3) that the company's financial results were in violation of generally accepted accounting principles and its own accounting interpretations; and (4) that as a result, its financial results were materially inflated at all relevant times.

On August 9, 2004, CP Ships announced that, in conjunction with the release of second quarter 2004 results, it would restate its previously reported financial results. At that time, it also admitted that it had insufficiently accrued certain costs, causing its net income figures to be materially inflated. On this news, CP Ships shares fell $3.70 per share or 22.36%, on August 9, 2004, to close at $12.85 per share.

If you purchased securities issued by CP Ships during the applicable period, you may request appointment by the court as a lead plaintiff if you do so by October 12, 2004. On May 12, 2008, several motions on the appointment of lead plaintiffs, lead counsels and co-lead counsels as well as to consolidate cases were filed by certain individuals and groups. On June 6, 2008, the Court entered the Order consolidating several actions under In re Michael Baker Corp. Securities Litigation, Civil Action No. 08-370. On June 26, 2008, the Court entered the Order appointing Michael Baker Institutional Investors Group as the presumptive lead plaintiff. According to the Order, Michael Baker Institutional Investors Group consists of the Southeast Pennsylvania Transit Authority (“SEPTA”) and the City of Tallahassee Retirement System.
 
A class action has been filed against Silicon Image, Inc. (NasdaqNM:SIMG), and certain of its officers and directors by stockholders who purchased the company's common stock between October 19, 2004 and January 24, 2005. The action claims that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities. The stockholders seek to recover compensatory damages for the loss of value of their stock.
 
According to a press release dated September 24, 2008, a class action lawsuit was filed on behalf of all persons who purchased the Preferred Series "J" stock ("Lehman Preferred J") of Lehman Brothers Holdings Inc. ("Lehman" or the "Company") (OTC: LEHJQ or LEHMQ) from the date of the Company's public offering on February 5, 2008 (the "Offering"), and all purchasers traceable thereto (the "Class Period") against certain officers and directors of Lehman and certain Underwriters of the Offering, pursuant to Sections 11 and 15 of the Securities Act of 1933 (the " Securities Act"), 15 U.S.C. ss.ss. 77k, 77l and 77o (the "Class"). The Underwriters include Bank of America Securities LLC (NYSE:BAC), Citigroup Global Markets Inc. (NYSE:C), Merrill Lynch, Pierce, Fenner & Smith Inc. (NYSE:MER), Morgan Stanley & Co. Inc. (NYSE:MS), UBS Securities LLC (NYSE:UBS), and Wachovia Capital Markets, LLC (NYSE:WB).
 
A Motion to Dismiss the initial complaint was filed on April 7, 2008, by Arthrocare Corporation. In response, the Plaintiff's Motion to Stay the Motion to Dismiss was filed on April 11, 2008. In addition, certain individual defendants have filed a Motion to Dismiss on May 2, 2008. The motions are currently pending before the court.
 
A class action has been filed against medical testing company Laboratory Corporation of America Holdings (NYSE: LH) and certain of its officers and directors by stockholders who purchased the company's common stock between February 13 and October 3, 2002.
 
The parties have reached a tentative $21 million settlement in a class action filed against the Morrison Knudsen Savings Plan, the Morrison Knudsen Corporation Employee Stock Ownership Plan, other various corporate defendants, and 29 individual defendants on behalf of all current and former participants of the Savings Plan who held shares of Morrison Knudsen stock in their savings plan accounts on or after July 19, 1994, and all individuals who were participants of the Morrison Knudsen Employee Stock Ownership Plan on or after July 19, 1994. The settlement notice does not indicate a claims deadline— persons eligible to take part in the settlement should contact the attorneys for the class for more information.
