Stockholder Lawsuit Filed Against Spear & Jackson Alleging “Pump-and-Dump” Scheme

Several class actions have been filed against tool manufacturer Spear & Jackson, Inc. (OTC:SJCK.OB) and certain of its officers and directors by stockholders who purchased the company's common stock between July 14, 2003, and April 15, 2004. The actions claim that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities. The stockholders seek to recover compensatory damages for the loss of value of their stock.

The action alleges that the following adverse facts were kept from the investing public: (1) that the defendants orchestrated a “pump-and dump” scheme to manipulate the Spear & Jackson share prices by issuing false information to promote the stock to registered representatives and broker-dealers around the country; (2) that the defendants used nominee companies based in the British Virgin Islands illegally to obtain over 1.2 million shares of Spear & Jackson stock during 2002, some of which was obtained through the filing of a fraudulent Form S-8 registration statement; (3) that the company’s repurchase of shares was not in compliance with applicable rules; (4) that Spear & Jackson never had any intention of making open market purchases as suggested in its January 16, 2004 release; and (5) that the company was not on track to achieve earnings of $0.50 to $0.55 per share for 2004 as reported. As a result of the defendants’ false statements, Spear & Jackson’s stock price traded at inflated levels during the applicable period, increasing to as high as $9.55 on July 15, 2003, at which time the company’s top officers and directors allegedly sold more than $3 million worth of their own shares. On April 16, 2004, it was announced that U.S. securities regulators had sued Spear & Jackson Chief Executive Dennis Crowley, alleging he used false information to boost the company’s stock price while secretly selling $3 million in shares. Spear & Jackson shares fell $0.52 to $1.85 on this news on heavy volume of trading.

According to a press release dated May 22, 2008, a class action complaint has been on behalf of certain current and former shareholders of Huntington Bancshares Incorporated ("Huntington") whose shares of stock in Waterfield Mortgage Company, Incorporated ("Waterfield") were converted into shares of stock in Sky Financial Group, Inc. ("Sky Financial") in connection with Sky Financial's October 2006 acquisition of Waterfield, and then converted into shares of stock in Huntington in connection with Huntington's July 2007 merger with Sky Financial. The complaint names Huntington and certain Individuals as defendants. The complaint alleges that Huntington, as successor in interest to Sky Financial, violated sections 11 and 12(2) of the Securities Act of 1933, and that the individuals are liable because, under section 15 of the Securities Act of 1933, they were Control Persons of Sky Financial. The complaint seeks damages for members of alleged class who sold shares of stock in Huntington during the class period from November 16, 2007 to the present, or who continue to hold shares of stock in Huntington.
 
The parties have reached a tentative $10.2 million settlement of a class action filed against managed healthcare company Physician Corporation of America (Nasdaq: PCAM) and certain of its officers and directors by stockholders who purchased the company's common stock between March 31, 1996, and March 31, 1997, and still owned the stock on the latter date. To recover under the settlement, a completed proof of claim postmarked no later than December 22, 2003, must be mailed to the claims administrator.
 
According to a law firm press release dated 5/22/2008, a class action lawsuit was filed on behalf the Jacksonville Police and Fire Pension Fund against American International Group, Inc.
 
The original complaint charges Bear Stearns and certain of its officers and directors with violations of the Securities Exchange Act of 1934. Bear Stearns, through its broker-dealer and international bank subsidiaries, provides investment banking, securities and derivatives trading, clearance, and brokerage services worldwide.
 
A class action has been filed against online trader Ameritrade, as well as the American Stock Exchange and certain Amex specialist firms on behalf of investors who sought to execute direct access limit orders to buy or sell options listed at the American Stock Exchange by certain specialist firms and who were wrongfully refused executions and suffered damages between April 2, 2001 and December 3, 2004 inclusive (the "Class Period").
 
A class action has been filed against chemical-based materials manufacturer Solutia Inc. (NYSE: SOI) and certain of its officers and directors by stockholders who purchased the company's common stock between December 16, 1998, and October 10, 2002.
