Tropical Sportswear International Corporation's 2002 Public Offering Challenged

A class action has been filed against clothing manufacturer Tropical Sportswear International Corporation (Nasdaq: TSIC) and certain of its officers and directors by stockholders who purchased the company's common stock between April 17, 2002, and January 20, 2003. The action claims that the defendants violated federal securities laws by issuing material misrepresentations to the market in connection with the company's mid-2002 public offering, thereby artificially inflating the price of the company's securities. The stockholders seek to recover compensatory damages for the loss of value of their stock.

On June 13, 2002, Tropical Sportswear completed a public offering pursuant to a registration statement and prospectus declared effective by the Securities and Exchange Commission on May 16. The action alleges that the defendants failed to disclose material information in the prospectus and registration statement relating to (1) the company's order base and outlook on overall demand in the retail apparel market, (2) Project Synergy (the company's ongoing consolidation and reorganization effort, and (3) the lack of profitability of the Savane and Duck Head brands.

The actions claim that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities.
 
Carnival Cruises is finally paying up after giving its stockholders a ride. The parties have reached a tentative $3.4 million settlement in an actions filed against cruise operator Carnival Corporation (NYSE: CCL) and certain of its officers and directors by stockholders who purchased the company's common stock between July 28, 1998, and February 28, 2000. To recover under the settlement, a completed proof of claim postmarked no later than February 6, 2004, must be mailed to the claims administrator.
 
The parties have reached a tentative $10 million settlement of several class actions filed against network security firm CyberGuard Corporation (Nasdaq: CGFW, formerly AMEX: CFW) and certain of its officers and directors by stockholders who purchased the company's common stock between January 26 and August 21, 1998. The parties have not announced further details of the settlement, including the deadline for filing claims.
 
Several class actions have been filed against human genome mining company deCODE genetics, Inc. (Nasdaq:DCGN) and certain of its officers and directors by stockholders who purchased the company's common stock between October 29, 2003, and August 26, 2004. The actions claim that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities.
 
The class has been certified in a class action filed against food processor Tyson Foods, Inc., and certain of its officers and directors, consisting of all persons who purchased IBP, Inc., common stock on or before March 29, 2001, and subsequently sold them between March 30, 2001, and June 15, 2001. The actions claim that the defendants violated federal securities laws by issuing a series of material misrepresentations to the market over this time period, thereby artificially inflating the price of the company's securities.
